Terms of Service
1. Purpose
These terms of service and sale (the "Terms") govern access to and use of the Refurb software (the "Service"), published by Ajinthan ARIYARASAN, a French sole proprietorship (micro-entreprise) (hereafter "VIST"), as well as the terms of subscription to the paid plans offered on refurb.vist.studio. Subscribing to a paid plan constitutes full acceptance of these Terms.
2. Description of the service
Refurb is an operational management software for IT refurbishment professionals (diagnostic imports, batch management, QR traceability, repairs, orders, marketplace synchronization). The Service is intended for professional use only and is not offered to consumers.
3. Demo and trial access
Refurb offers a 14-day demo access, granted after approval of a request submitted through the site's form. This access is provided free of charge and without commitment.
4. Subscription and pricing
Plans, their features, and their pricing are presented on the refurb.vist.studio/#pricing page and may change over time. The price applicable to a subscription is the one displayed at the time of subscription. Unless stated otherwise, prices are shown exclusive of tax, with applicable VAT added in accordance with current regulations.
5. Payment
Payment is collected on a subscription basis (monthly or annual depending on the plan chosen), through our payment provider Stripe. VIST does not collect or store any banking data: it is processed directly by Stripe, under its own terms and privacy policy.
6. Term, cancellation, and plan changes
The subscription has no minimum commitment period. The Customer may change plans or cancel at any time; cancellation takes effect at the end of the current billing period. Unless otherwise agreed in writing, no pro-rata refund is issued for the current period.
7. Right of withdrawal
As the Service is intended for professional use and subscribed to in the course of the Customer's business activity, the statutory right of withdrawal available to consumers under French consumer law does not apply.
8. Customer obligations
The Customer agrees to provide accurate information, to keep its login credentials confidential, to use the Service in accordance with its intended purpose and applicable regulations, and not to compromise the security, integrity, or proper functioning of the Service.
9. Intellectual property
The Refurb software, its architecture, source code, trademark, and graphic elements remain the exclusive property of VIST. Nothing in these Terms transfers any intellectual property right in the Service to the Customer. The Customer retains full ownership of the data it imports or enters into the Service.
10. Availability and maintenance
VIST uses reasonable efforts to keep the Service available, without guaranteeing continuous availability or any contractual service level. Maintenance-related interruptions may occur, with advance notice to the Customer where reasonably possible.
11. Liability
The Service is provided "as is." To the extent permitted by law, VIST's liability is limited to direct damages and shall not exceed the total amount paid by the Customer over the preceding twelve (12) months. VIST shall not be liable for indirect damages, including loss of data, profits, or business.
12. Data portability
Upon termination, the Customer has 30 days from the effective date of termination to export its data from the Service. After this period, the data may be deleted.
13. Changes to these Terms
VIST reserves the right to modify these Terms. Customers will be notified of any material change; continued use of the Service after notification constitutes acceptance of the new Terms.
14. Governing law and jurisdiction
These Terms are governed by French law. Any dispute relating to their interpretation or performance falls under the jurisdiction of the French courts, subject to any mandatory overriding provisions.
